Terms of Service
STRAZ TERMS OF SERVICE
These Terms of Service ("Terms") form a binding agreement between you and Straz Inc., a Delaware
corporation ("Straz," "we," "us," or "our").
These Terms govern your access to and use of the Straz mobile application, website, software, artificial
intelligence features, content, subscriptions, and related products and services, collectively referred to as the
"Services."
Please read these Terms carefully.
These Terms contain an agreement to arbitrate and a class-action waiver. Except where prohibited by law, disputes
must be resolved individually through binding arbitration rather than in court or before a jury.
By creating an account, purchasing a subscription, accessing the Services, or otherwise using Straz, you agree to
these Terms and the Straz Privacy Policy.
If you do not agree, do not access or use the Services.
1. Eligibility
You must be at least 13 years old to create or use an individual Straz account.
If you are under the age of legal majority where you live, you may use the Services only with the permission of a
parent or legal guardian.
By allowing a minor to use Straz, the parent or guardian:
- Confirms that the minor has permission to use the Services
- Agrees to these Terms on the minor’s behalf
- Accepts responsibility for the minor’s use of the Services
- Agrees to supervise the minor’s access to content where appropriate
Straz does not knowingly permit children under 13 to create individual accounts.
Schools, acting programs, studios, or other organizations seeking to provide Straz to users under 13 must first
enter into a separate written agreement with Straz addressing parental authorization, privacy, account
administration, and applicable legal requirements.
By using the Services, you represent that:
- You meet the eligibility requirements above
- The information you provide is accurate
- You are legally permitted to use the Services
- You will comply with these Terms
If you use Straz on behalf of a company, school, acting studio, agency, production, or other organization, you
represent that you have authority to bind that organization. In that case, "you" includes both you and the
organization.
2. The Straz Services
Straz provides technology designed to support acting rehearsal, script preparation, line learning, scene practice,
voice playback, performance exploration, and related creative work.
Features may include:
- Script upload and processing
- Character and dialogue identification
- Stage-direction detection
- Role selection
- Line highlighting and selective practice
- Speech recognition
- Rehearsal commands and playback controls
- AI-generated scene-partner voices
- Emotion, pacing, emphasis, and voice controls
- Multi-character dialogue
- Script and scene analysis
- Warm-ups, coaching, training, and practice exercises
- Audio or video recording
- Self-tape preparation
- Progress and usage tracking
- Third-party integrations
- Experimental or beta features
Features may change, be delayed, become unavailable, or differ by:
- Device
- Region
- Subscription
- Age
- App-store requirements
- Selected voice or artificial intelligence model
- Product version
Straz does not guarantee that every script will parse correctly or that every feature will work with every script
format, language, character structure, accent, voice, device, recording environment, or internet connection.
3. Artificial Intelligence Services
Straz uses artificial intelligence and automated systems.
AI-generated voices, transcripts, interpretations, scene analysis, character identification, emotional direction,
responses, and other outputs may be inaccurate, incomplete, inconsistent, delayed, unsuitable, or unexpected.
AI output is generated by automated systems and should not be treated as fact or professional judgment.
Straz does not guarantee that:
- A generated response will be emotionally accurate
- A response will match the user’s intended interpretation
- A transcript will be exact
- A script will be parsed correctly
- A scene interpretation will match the writer’s intent
- A selected voice will always remain available
- A generated performance will be identical across repeated sessions
- Use of the Services will improve casting or employment results
- Generated material will be unique
- The Services will operate without interruption or error
You are responsible for reviewing all outputs and deciding whether they are appropriate for your use.
Straz is a rehearsal tool. Straz is not:
- A casting director
- Talent agent
- Talent manager
- Employment service
- Acting teacher
- Attorney
- Doctor
- Therapist
- Financial adviser
- Union representative
Straz does not provide legal, medical, mental-health, financial, immigration, union, employment, casting, or
professional representation advice.
4. Your Account
You may need an account to access some or all features.
You agree to:
- Provide accurate account information
- Keep your information current
- Maintain the security and confidentiality of your login credentials
- Use only your own account unless you are authorized to manage another account
- Notify Straz promptly of suspected unauthorized access
- Accept responsibility for activity conducted through your account
You may not:
- Sell or rent your account
- Transfer your account without authorization
- Share an account to avoid subscription, seat, or usage limits
- Permit unauthorized individuals to access paid features
- Use another person’s credentials without permission
We may suspend access when we reasonably believe an account has been compromised, shared improperly, obtained
fraudulently, or used in violation of these Terms.
5. User Scripts and Creative Content
"User Content" means scripts, audition sides, scenes, dialogue, recordings, videos, self-tapes, images,
notes, instructions, feedback, communications, and other materials you upload, create, transmit, or submit through
the Services.
A. Ownership
As between you and Straz, you retain the rights you lawfully hold in your User Content.
Straz does not claim ownership of a script, audition side, recording, self-tape, or other creative material merely
because you upload or process it through the Services.
B. Private Rehearsal Environment
User-uploaded scripts and creative materials are processed within the user’s private account for the purpose of
providing rehearsal functionality. Straz does not offer a public script-sharing feature.
Straz will not display a user’s private uploaded scripts to unrelated Straz users.
Straz will not:
- Publish a private uploaded script
- Add a private script to a public or community library
- Use a private script as a Straz sample scene
- Sell or license a private script as content
- Use a private script in advertising
- Use a private script in a public demonstration
- Allow unrelated users to access a private script
- Use a private script to train a general-purpose AI model without separate affirmative consent
C. Limited License to Straz
You grant Straz a limited, nonexclusive, worldwide, royalty-free license to host, copy, transmit, process,
technically format, analyze, generate requested outputs from, and display User Content only as reasonably necessary
to:
- Provide the Services requested by you
- Operate and maintain your account
- Store content you choose to save
- Process scripts and identify dialogue
- Generate speech and other requested outputs
- Maintain scene and rehearsal position
- Provide technical support
- Investigate a reported issue
- Prevent fraud or misuse
- Maintain security
- Comply with law
- Enforce these Terms
This license does not permit Straz to use private User Content for unrelated commercial purposes.
This license ends when the applicable content is deleted from active systems, except for limited backup copies,
security records, fraud-prevention records, legal records, and other copies Straz is permitted or required to
retain.
D. No General Model Training Without Permission
Straz will not use private scripts, recordings, self-tapes, or private performance content to train general-purpose
artificial intelligence models unless Straz:
- Provides clear notice
- Explains the intended use
- Receives the user’s separate affirmative consent
Straz may use technical, aggregated, or de-identified information that does not reasonably identify a user or
disclose the substance of confidential creative material to measure and improve:
- Reliability
- Latency
- Error rates
- Feature performance
- System stability
- Usage patterns
- Security
E. Your Rights and Responsibilities
You represent and warrant that:
- You own the User Content or have all permissions required to upload and process it
- Your use of the content does not violate copyright, contract, confidentiality, privacy, publicity, trade-secret, or other rights
- Your content and use comply with applicable law
- Your upload does not violate a nondisclosure agreement, production restriction, casting instruction, union obligation, employment obligation, or license
- You have any necessary permission from people whose voice, image, likeness, performance, or personal information appears in the content
Uploading material to Straz does not create ownership rights, clearance, or permission that you do not already
have.
F. Sensitive, Confidential, and Unreleased Material
You should use care before uploading:
- Unreleased scripts
- Confidential audition sides
- Embargoed material
- Production scripts
- Material subject to a nondisclosure agreement
- Proprietary training materials
- Material containing personal or sensitive information
Straz uses safeguards designed to protect private content, but no online service can guarantee complete security.
You are responsible for deciding whether your agreement with a writer, studio, casting office, school, agency,
production, employer, publisher, or rights holder permits use of the material with an AI-assisted third-party
service.
6. Straz Sample Scenes
Straz may provide sample scenes, scripts, dialogue, exercises, or demonstration materials to help users test and
understand the Services.
Sample material may be added, removed, edited, or replaced from time to time.
Some sample scenes may contain:
- Strong language
- Mature themes
- Emotional conflict
- References to sex or relationships
- References to alcohol or drugs
- Violence or threats
- Distressing subject matter
- Other content more suitable for older users
Straz may label, filter, limit, or restrict sample material based on:
- Age
- Region
- App-store rating
- Parental controls
- Account settings
- Platform requirements
- Applicable law
A user or parent is responsible for reviewing available content and deciding whether it is appropriate.
Straz sample scenes are separate from scripts uploaded privately by users.
Straz will not convert a user’s private script into sample material without:
- Separate written permission
- Confirmation that the user has the necessary rights
- Any other release or authorization required by Straz
7. Voice, Likeness, and Performance Rights
You may not use Straz to:
- Clone or imitate a real person’s voice without lawful authorization
- Impersonate another person
- Falsely represent AI-generated speech as an authentic recording of a real person
- Create deceptive endorsements or statements
- Commit fraud
- Defame another person
- Violate privacy, publicity, copyright, trademark, or other legal rights
- Create nonconsensual intimate or sexual material
- Exploit or endanger a minor
- Harass, threaten, deceive, or harm another person
- Circumvent provider restrictions, technical controls, or safety systems
A voice made available through Straz is licensed for permitted use within the Services.
Availability of a voice does not transfer ownership of:
- The voice
- Voice model
- Underlying recordings
- Performance rights
- Associated intellectual property
You may not extract, reverse engineer, copy, resell, distribute, train on, or create a competing voice model from
any voice, model, or generated audio made available through Straz unless expressly authorized in writing.
8. License to Use the Services
Subject to compliance with these Terms, Straz grants you a limited, personal, revocable, nonexclusive,
nontransferable, and nonsublicensable license to access and use the Services for lawful acting rehearsal and related
authorized purposes.
You may not:
- Copy, modify, distribute, sell, lease, or sublicense the Services
- Reverse engineer, decompile, disassemble, or attempt to extract source code
- Scrape, crawl, index, or use automated systems to access the Services without permission
- Bypass subscriptions, usage limits, paywalls, security controls, or rate limits
- Use the Services to build, train, test, benchmark, or improve a competing product or AI system
- Extract scripts, voices, datasets, prompts, model behavior, or proprietary outputs at scale
- Use another person’s account without permission
- Interfere with the Services or another user’s access
- Upload malware or harmful code
- Probe or test system vulnerabilities without written authorization
- Remove copyright, trademark, or ownership notices
- Use Straz branding without permission
- Use the Services for unlawful, abusive, deceptive, or harmful conduct
9. Straz Intellectual Property and Trademarks
The Services, including the software, source code, product structure, designs, user interfaces, workflows, methods,
branding, logos, graphics, databases, documentation, prompts, patents, patent applications, trade secrets, and
original content, are owned by Straz Inc. or its licensors.
These Terms do not transfer ownership of any Straz intellectual property to you.
STRAZ, Straz™, the Straz name, the Straz logo, and related names, designs, taglines, and source identifiers are
trademarks, service marks, or other protected intellectual property of Straz Inc.
Certain Straz marks may be registered or subject to pending trademark applications in the United States or other
jurisdictions.
You may not use Straz’s trademarks, logos, branding, or source identifiers without prior written permission, except
for limited factual references that are permitted by law.
Use of the Services does not grant any right or license to use Straz’s trademarks.
10. AI Outputs
Subject to applicable law, third-party rights, and these Terms, Straz does not claim ownership of original output
generated specifically for you solely because it was generated through the Services.
You acknowledge that:
- Similar or identical outputs may be generated for other users
- Some outputs may not qualify for copyright or other legal protection
- Outputs may contain mistakes
- Outputs may resemble third-party content
- Straz does not guarantee originality, exclusivity, accuracy, or noninfringement
- You are responsible for reviewing output before using, publishing, distributing, submitting, or relying on it
You may not represent that Straz or any artificial intelligence provider sponsors, approves, or endorses your
content, performance, project, or use of an output.
11. Feedback
If you provide ideas, evaluations, suggestions, bug reports, feature requests, or other feedback, you grant Straz a
perpetual, irrevocable, worldwide, transferable, sublicensable, and royalty-free right to use and incorporate that
feedback without restriction or compensation.
This section does not give Straz ownership of your private scripts, recordings, self-tapes, or performances.
12. Subscriptions and Paid Features
Some Services require payment.
Available offerings may include:
- Monthly subscriptions
- Annual subscriptions
- Free trials
- Introductory offers
- Promotional access
- Founding-user access
- Usage allowances
- Generated-speech allowances
- Rehearsal-minute packages
- Tokens or credits
- Add-ons
- Professional subscriptions
- Coach, school, studio, team, or enterprise plans
Prices, features, allowances, models, limits, and availability may change.
The price and renewal terms shown at the time of purchase control your transaction.
A. Automatic Renewal
Unless stated otherwise, subscriptions automatically renew at the end of each billing period until canceled.
By purchasing an automatically renewing subscription, you authorize the applicable app store, payment processor, or
Straz to charge the then-current subscription price and applicable taxes at each renewal.
B. Free Trials and Promotional Offers
A free trial or promotional period may automatically convert to a paid subscription unless canceled before the
conversion date disclosed at enrollment.
Eligibility may be limited to certain users, accounts, devices, or regions.
Straz may modify or withdraw an offer where permitted by law.
C. Cancellation
You may cancel through the platform where you purchased your subscription.
For Apple purchases, manage the subscription through your Apple account.
For Google Play purchases, manage the subscription through your Google Play account.
For subscriptions purchased directly from Straz, follow the cancellation instructions in your account or contact support@heystraz.com.
Cancellation stops future renewals.
Unless required by law or stated otherwise, cancellation does not provide a prorated refund, and access will
continue through the end of the paid billing period.
Deleting the Straz app or deleting your Straz account does not automatically cancel an app-store subscription.
D. Usage Allowances, Minutes, Tokens, and Credits
A subscription or purchase may include a set amount of:
- Generated speech
- Rehearsal time
- Speech-recognition time
- Script processing
- Storage
- Artificial intelligence requests
- Tokens
- Credits
- Other usage-based features
Usage may be measured by:
- Generated audio duration
- Processed text or characters
- Speech-recognition duration
- Requests
- Sessions
- Tokens
- Credits
- Another disclosed technical unit
Unused allowances may expire at the end of a billing period unless the offer expressly states that they roll over.
Purchased minute packs, tokens, or credits may expire on the date disclosed at purchase, subject to applicable law.
Unless otherwise stated, credits and allowances:
- Have no cash value
- Are not legal tender
- Cannot be transferred or resold
- Cannot be combined across unrelated accounts
- May be revoked if obtained through fraud, error, chargeback abuse, or violation of these Terms
E. Price Changes
Straz may change subscription prices.
Where required, Straz will provide advance notice or obtain consent.
A price change will generally apply to a future renewal rather than the current paid billing period.
F. Taxes
Prices may exclude applicable taxes.
You are responsible for sales, use, value-added, or similar taxes unless collected during purchase.
13. Refunds
Payments are generally nonrefundable except:
- Where required by law
- Where stated in the applicable offer
- Under the rules of Apple, Google, or the applicable payment provider
- Where Straz approves a refund in its discretion
Apple and Google control refunds for transactions processed through their platforms.
Straz may be unable to issue a refund for a transaction controlled by an app store.
14. Beta and Experimental Features
Straz may provide beta, prototype, preview, test, or experimental features.
These features may:
- Be incomplete
- Contain errors
- Perform unpredictably
- Lose or incorrectly process data
- Change without notice
- Differ from released features
- Be subject to additional testing or confidentiality requirements
- Be discontinued at any time
You use beta and experimental features at your own risk.
Information and feedback from voluntary testing may be used to evaluate and improve the Services, subject to the
Privacy Policy.
15. Third-Party Services
Straz may rely on or connect with third-party services, including:
- Artificial intelligence providers
- Voice providers
- Cloud infrastructure
- Speech recognition
- Payment processing
- Analytics
- Data storage
- Authentication
- Customer support
- App distribution
Third-party services are governed by their own terms, policies, systems, and technical limitations.
Straz is not responsible for a third party’s:
- Availability
- Accuracy
- Content
- Security
- Pricing
- Business decisions
- Service interruptions
- Policy changes
- Data practices
A third-party outage, restriction, pricing change, model change, or policy change may affect the availability or
operation of Straz.
16. Copyright Complaints
Straz respects intellectual property rights.
A copyright owner or authorized agent who believes material available through Straz infringes copyright may send a
notice containing:
- Identification of the copyrighted work
- Identification and location of the allegedly infringing material
- Contact information
- A statement of good-faith belief that the use is unauthorized
- A statement under penalty of perjury that the notice is accurate and the sender is authorized to act
- A physical or electronic signature

Straz may remove content and suspend or terminate repeat infringers where appropriate.
17. Suspension and Termination
You may stop using Straz at any time.
Straz may suspend, limit, restrict, or terminate access when:
- You violate these Terms
- Payment fails
- Your account creates legal, security, operational, or reputational risk
- Straz suspects fraud or unauthorized access
- Straz is required to act by law, an app store, or a provider
- A required third-party service becomes unavailable
- Continuing to provide the Services is no longer technically or commercially reasonable
Where reasonable and legally permitted, Straz may provide notice or an opportunity to address the issue.
Upon termination:
- Your license to use the Services ends
- You must stop accessing the Services
- Unused allowances may be forfeited unless law requires otherwise
- Provisions intended by their nature to survive will remain in effect
18. Changes to the Services
Straz may modify, add, remove, suspend, replace, or discontinue features.
Straz does not guarantee:
- Continuous availability
- A specific response time
- Compatibility with every device
- Preservation of every script or recording
- Continued availability of a particular voice, model, or provider
- That a particular feature will remain free
- That a planned feature will be released
- That sample scenes will remain available
- That pricing or usage allowances will remain unchanged
You should maintain your own lawful copy of important scripts and creative materials.
19. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS
AVAILABLE."
STRAZ AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND
AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- TITLE
- NON-INFRINGEMENT
- ACCURACY
- AVAILABILITY
- SECURITY
- QUIET ENJOYMENT
- PERFORMANCE
- RESULTS
STRAZ DOES NOT WARRANT THAT THE SERVICES WILL BE ACCURATE, UNINTERRUPTED, SECURE, ERROR-FREE, OR
APPROPRIATE FOR A PARTICULAR AUDITION, CASTING, PRODUCTION, CLASS, PERFORMANCE, OR CAREER DECISION.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. SOME OF THESE DISCLAIMERS MAY NOT APPLY TO
YOU.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRAZ AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS,
DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
- LOST PROFITS, REVENUE, OPPORTUNITIES, DATA, GOODWILL, OR BUSINESS
- LOSS, CORRUPTION, OR UNAUTHORIZED DISCLOSURE OF SCRIPTS, RECORDINGS, OR CONTENT
- CASTING, EMPLOYMENT, REPUTATIONAL, EDUCATIONAL, OR PROFESSIONAL OUTCOMES
- RELIANCE ON AI-GENERATED OUTPUT
- THIRD-PARTY CONDUCT OR SERVICES
- SERVICE INTERRUPTION
- DEVICE FAILURE
- LOSS OF UNUSED CREDITS OR ALLOWANCES WHERE PERMITTED BY LAW
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRAZ’S TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICES
WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO STRAZ FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
- ONE HUNDRED U.S. DOLLARS.
These limitations apply regardless of the legal theory and even if Straz was advised that damages were possible.
Some jurisdictions do not allow certain liability limitations. In those jurisdictions, liability will be limited to
the fullest extent permitted by law.
21. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Straz and its affiliates,
officers, directors, employees, contractors, licensors, and agents from claims, liabilities, damages, judgments,
losses, expenses, and reasonable attorneys’ fees arising from:
- Your use or misuse of the Services
- Your User Content
- Your violation of these Terms
- Your violation of law
- Your violation of another person’s rights
- Your unauthorized upload or processing of scripts, voices, likenesses, recordings, confidential information, or copyrighted material
- Your fraudulent, deceptive, abusive, or harmful activity
Straz may control the defense of a covered claim, and you agree to provide reasonable cooperation.
22. Governing Law
Except where applicable consumer law requires otherwise, these Terms are governed by the laws of the State of
Delaware, without regard to conflict-of-law rules. The Federal Arbitration Act governs the interpretation and
enforcement of the arbitration provisions.
23. Informal Dispute Resolution
Before filing a formal claim, you and Straz agree to attempt to resolve the dispute informally.
The party raising the dispute must send a written notice describing:
- The name and account email of the person raising the dispute
- The nature and factual basis of the dispute
- The requested relief
Notices to Straz must be sent to:

The parties will have 45 days after receipt of the notice to attempt resolution.
Any applicable limitation period will be paused during this informal process to the extent permitted by law.
24. Binding Arbitration
Except for the claims listed below, a dispute arising from or relating to these Terms or the Services that cannot
be resolved informally will be resolved through individual binding arbitration administered by the American
Arbitration Association under its applicable Consumer Arbitration Rules.
Arbitration may occur by video, telephone, written submission, or in person as permitted by the applicable rules.
The arbitrator may award the same individual remedies that a court could award.
A court with jurisdiction may enter judgment on the arbitration award.
Nothing in these Terms prevents either party from:
- Bringing an eligible individual claim in small-claims court
- Seeking emergency or temporary relief concerning unauthorized system access, intellectual property, confidential information, security, or misuse
- Reporting an issue to a government agency
- Exercising a right that applicable law does not permit to be arbitrated
25. Class-Action and Jury-Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND STRAZ AGREE THAT EACH PARTY MAY BRING CLAIMS ONLY IN AN
INDIVIDUAL CAPACITY.
YOU AND STRAZ WAIVE THE RIGHT TO:
- A JURY TRIAL
- PARTICIPATE IN A CLASS ACTION
- ACT AS A PRIVATE ATTORNEY GENERAL
- PARTICIPATE IN A REPRESENTATIVE OR CONSOLIDATED PROCEEDING
An arbitrator may award relief only to the individual party seeking relief and only as necessary to resolve that
party’s individual claim.
26. Right to Opt Out of Arbitration
You may opt out of Sections 24 and 25 by emailing support@heystraz.com
within 30 days after first accepting these Terms.
Your notice must include:
- Your full name
- Your Straz account email
- A clear statement that you are opting out of arbitration
- The date of the request
Opting out of arbitration will not affect any other provision of these Terms.
27. Apple App Store Terms
If you downloaded the app through Apple’s App Store:
- These Terms are between you and Straz, not Apple
- Apple is not responsible for the app or its content
- Apple has no obligation to provide maintenance or support for Straz
- Straz, not Apple, is responsible for addressing claims relating to the app, subject to these Terms
- Apple and its subsidiaries are third-party beneficiaries of these Terms
- Upon your acceptance of these Terms, Apple may enforce applicable provisions against you
- Your license is limited to use on Apple-branded products you own or control as permitted by Apple’s usage rules
- You must comply with applicable third-party terms when using the app
28. Export and Sanctions Compliance
You may not use or access the Services in violation of United States export-control, sanctions, or trade laws.
You represent that you are not prohibited from using the Services under applicable sanctions or restricted-party
laws.
29. Electronic Communications

Straz may update these Terms.
Straz will post the revised Terms and update the "Last Updated" date.
Where required by law, Straz will provide advance notice of material changes or request additional consent.
Continuing to use the Services after revised Terms take effect constitutes acceptance, except where applicable law
requires another form of consent.
31. General Terms
Assignment
You may not assign or transfer these Terms without Straz’s written consent. Straz may assign these Terms in
connection with a financing, corporate reorganization, merger, acquisition, sale of assets, or operation of law.
Severability
If any provision is found unenforceable, it will be enforced to the maximum lawful extent, and the remaining
provisions will remain in effect.
No Waiver
Failure to enforce a provision is not a waiver of that provision.
Entire Agreement
These Terms, the Privacy Policy, applicable purchase terms, and any additional terms presented for a feature form
the entire agreement concerning the Services.
No Agency or Partnership
These Terms do not create an employment, agency, fiduciary, franchise, partnership, or joint-venture relationship
between you and Straz.

Force Majeure
Straz is not liable for delay or failure caused by events beyond its reasonable control, including natural
disasters, internet or utility failures, government actions, war, terrorism, civil unrest, epidemics, cyberattacks,
labor disputes, and failures of third-party providers.
